Expertise

Jiří has more than 20 years of experience advising clients on M&A transactions, including cross-border acquisitions, joint ventures, and private equity investments. He has developed extensive expertise particularly in the CEE and CIS jurisdictions. His practice also covers a wide range of financing matters, such as syndicated and bilateral loan facilities, acquisition finance, and mezzanine lending. In addition, he has been involved in major real estate development projects in the office, logistics, and retail sectors, both in the Czech Republic and across the CIS region.

Beyond transactional work, Jiří regularly advises clients on asset protection and crisis management, and he is frequently engaged on matters involving trusts.

Experience

Some of the projects Jiří has been involved in include:

advising PPF Group in the acquisition of a 50 percent stake in the Eldorado Group, one of the Russia's largest consumer electronics retailers, including the subsequent restructuring of the Eldorado group, with a total value over USD 500 million
advising Škoda Transportation in the establishment and dissolution of a joint venture with Sinara Transport Machines to produce trams, trolleybuses, and metro cars in St. Petersburg, Russia
advising Eastfield Group of Slovakia in the restructuring and sale of the Raevskoe winery in the Black Sea coast region to KZP Group, a Krasnodar agricultural group
advising New Star Asset Management and Belgravia Asset Management, the UK investment funds, in the acquisition of the manufacturing plants in the Czech Republic, including bank financing of the acquisition, with a total value exceeding CZK 1 billion
advising PPF Group in connection with the Comcity development project, unique complex of the office buildings located in the so called “New Moscow” with a total rentable area of 400,000 square meters, with a total value over EUR 1 billion
advising PPF Group in connection with the acquisition of PPF Gate, the state‑of‑the‑art administrative building and PPF’s headquarters in Prague, including bank financing of the acquisition, with a total value over CZK 1.5 billion

Background

Jiří graduated from Law Faculty of the Charles University in 2003. He joined BBH Prague in 2002 and in 2010 he became partner of the firm and managing partner of the firm’s Moscow office. He was repeatedly recognized by Chambers Global and Chambers Europe directories as a leading Czech expert on Russia. In 2017 he founded, together with Anastasia Tomashevskaya, the law firm STETOM.

Anastasia brings over 15 years of experience in M&A, corporate law, banking and finance, and restructuring. She has guided clients through company acquisitions and sales, business structuring, and complex transactions in the CEE and CIS jurisdictions. Her work includes advising international companies and banks on restructuring projects, joint venture dissolutions, and insolvency proceedings. She has also negotiated a wide range of loan agreements, with a particular focus on syndicated financing.

Alongside her transactional practice, Anastasia regularly advises high-net-worth individuals and business owners on private investments, ownership restructuring, and long-term strategic planning.

advising PPF Group in the divestment of RAV‑Agro, the notable agricultural group based in Voronezh, Russia, to a Russian private investor
advising Czech Export Bank in relation to the several bankruptcy proceedings of its debtors and collateral providers active in the glass production areas in Russia
advising Kovosvit MAS in connection with the joint venture with MTE Group established for the production of the heavy machinery in Azov, Russia, including the long‑term protection of the interests KOVOSVIT MAS as the shareholder
advising Generali PPF in connection with the sale of the Russian non-state pension fund Generali PPF to Investment Group Russian Funds, оnе of the largest national provider of brokerage, asset management, investment-banking, pension fund and insurance services

Background

Anastasia graduated from International Independent University for Political and Ecological Sciences in 2005. She joined BBH Moscow in 2008 and in 2013 she became partner of the firm. In 2017 she founded, together with Jiří Štěrba, the law firm STETOM.
